1. About these terms

These terms and conditions apply to agreements for bookkeeping, payroll, financial advisory and other services between Ciento Finans, CVR 46 65 12 27, Rolighedsvej 5, 1. TV, 4300 Holbæk, Denmark and the business customer (the “Customer”). They apply unless otherwise agreed in writing.

2. Services

Ciento Finans provides ongoing bookkeeping, payroll, financial advisory, budgeting and liquidity management, and bill payment. The exact scope is agreed individually and set out in the quote, order confirmation or selected package.

3. Formation and onboarding

The agreement is concluded in writing, e.g. by email or acceptance of a quote. At onboarding the Customer grants Ciento Finans access to relevant documents, bank and accounting systems to the extent needed to deliver the service.

4. Prices and payment

Services are billed as fixed monthly subscriptions. All prices are excluding VAT. Invoicing is monthly in advance with a payment term of 8 days unless otherwise agreed. A discount applies for quarterly or annual payment. Current prices are shown in the price calculator.

5. The Customer’s obligations

The Customer provides the necessary material on time and in the agreed form and warrants that the information made available is correct and complete. Late or incomplete material may affect delivery time and price.

6. Liability

Ciento Finans performs the work professionally and in accordance with good bookkeeping practice. Ciento Finans’ liability is limited to the fees for the most recent 12 months for the service concerned and does not cover indirect losses, including operating losses and lost profits. The Customer holds ultimate responsibility for timely and correct reporting to public authorities.

7. Confidentiality

Both parties treat all information about each other’s affairs confidentially and use it solely to perform the agreement.

8. Processing of personal data

Ciento Finans processes personal data in accordance with our privacy policy. Where Ciento Finans processes personal data on behalf of the Customer, this is governed by the data processing agreement between the parties.

9. Term and termination

The subscription runs until terminated. Either party may terminate with one month’s notice to the end of the following month. There is no lock-in period. On termination the current period is completed and the Customer receives its accounting records.

10. Changes to the terms

Ciento Finans may change these terms with reasonable notice. Material changes are notified by email.

11. Governing law and venue

The agreement is governed by Danish law. Any disputes are first sought resolved amicably and otherwise settled at the District Court of Holbæk.
